These Terms of Service (“Terms”) govern your access to and use of the Cloud Centrify website, products and services (“Services”). By using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our website and services.
1. USE OF OUR WEBSITE
You may use our website for lawful purposes only. You must not:
- Attempt to gain unauthorised access to our systems or data
- Introduce viruses, malware or any harmful code
- Interfere with website functionality or security
- Copy or reproduce website content without permission
We reserve the right to restrict or block access for users who violate these Terms.
2. OUR SERVICES
Cloud Centrify provides cloud transformation, Microsoft 365 services, Azure infrastructure, security, migration and managed IT services to clients in the UK, US and Europe.
Any work performed for clients is governed by a separate Statement of Work (SOW), Master Services Agreement (MSA) or Service Order, which will override these Terms where applicable.
3. ACCOUNT REGISTRATION
Where an account or portal access is provided, you are responsible for:
- Keeping login credentials secure
- Ensuring authorised users access the system appropriately
- Notifying us immediately of any unauthorised access
We may suspend or disable accounts that are misused or present a security risk.
4. CLIENT RESPONSIBILITIES
When using our Services, you agree to:
- Provide accurate information required for service delivery
- Maintain the security of your own systems and devices
- Ensure compliance with your internal policies
- Use Microsoft products in line with Microsoft’s licensing rules
- Avoid any activity that may disrupt our services or infrastructure
You are responsible for the actions of anyone using our Services on your behalf.
5. ACCEPTABLE USE
You must not use our Services to:
- Upload or distribute harmful, illegal or infringing content
- Attempt to breach or circumvent security controls
- Engage in fraudulent, abusive or malicious activities
- Host or distribute spam, phishing tools or unauthorised software
We reserve the right to investigate misuse and report unlawful activity to relevant authorities.
6. FEES AND PAYMENT
Where fees apply, they will be outlined in your SOW or agreement. Unless otherwise stated:
- Invoices are due within 14 days of issue
- Late payments may result in service suspension
- Prices may change with reasonable notice
All fees exclude taxes unless explicitly stated.
7. INTELLECTUAL PROPERTY
Cloud Centrify retains all intellectual property rights in its:
- Website content
- Documentation
- Tools, scripts and processes
- Methodologies and service frameworks
Clients retain intellectual property rights in their own data, configurations and internal assets. Nothing in these Terms transfers ownership of intellectual property unless explicitly agreed in writing.
8. CONFIDENTIALITY
We will treat all client information as confidential unless:
- The information is already public
- Disclosure is required by law
- You consent to disclosure
- It is necessary to deliver the Services (e.g., sharing with Microsoft under contract)
We require our staff and suppliers to follow strict confidentiality procedures.
9. DATA PROTECTION
Cloud Centrify processes personal information in accordance with:
- UK GDPR
- EU GDPR
- Applicable US privacy laws (including CCPA/CPRA)
Our Privacy Policy explains how personal data is collected and used. Clients are responsible for ensuring they have appropriate legal grounds to share personal data with us.
10. SERVICE AVAILABILITY
We aim to provide reliable, secure and uninterrupted Services, but we do not guarantee:
- Continuous uptime
- Error-free performance
- That our website or Services will always be available
Scheduled maintenance or third-party outages (Microsoft, Azure, ISPs) may affect availability.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
- We are not liable for indirect, incidental or consequential losses
- We are not responsible for losses caused by third-party providers (e.g., Microsoft outages)
Nothing in these Terms limits liability arising from fraud, negligence causing death or serious injury, or any rights that cannot be excluded by law.
12. TERMINATION
We may suspend or terminate access to our Services if:
- You breach these Terms
- You fail to pay fees on time
- Your use poses a security or operational risk
You may terminate Services by giving written notice as outlined in your SOW or MSA.
Upon termination:
- Access to systems may be revoked
- Outstanding fees must be paid
- We may retain data only as required for legal or regulatory reasons
13. CHANGES TO THESE TERMS
We may update these Terms occasionally to reflect changes in laws, technology or service offerings. Updates will be published on this page with the revised date.
By continuing to use our website or Services, you accept any updated Terms.
14. GOVERNING LAW
These Terms are governed by the laws of:
- England and Wales for clients based in the UK or Europe
- The State of Delaware (recommended for US contracting) for US clients
Any disputes will be resolved in the relevant courts listed above.
